

Independent Contractor Agreement
This Independent Contractor Agreement ("Agreement") is made and entered into as of the Effective Date (defined below) by and between Safe Haven Home Assessments, a trademark of Upstream Population Health Ltd. Co., a registered limited liability company ("Company"), and the undersigned independent contractor ("Contractor").
1. Scope of Work
1.1 Contractor agrees to provide home assessments as a Digital Community Health Worker ("Services") for Safe Haven Home Assessments. 1.2 Services shall be performed in accordance with professional and ethical standards and as directed by Company guidelines. 1.3 Contractor is responsible for completing and submitting assessments to clients within the agreed timeframe and format - within 48 hours of completing a home safety assessment.
2. Compensation
2.1 The Company shall compensate the Contractor at a rate of $50 per assessment or $70 per assessment for certified professionals included in the orientation materials and registered Community Health Workers (CHWs). 2.2 Payments will be made on a monthly basis upon submission and approval of completed assessments. 2.3 Contractor is responsible for all taxes, insurance, and benefits associated with their compensation.
3. Independent Contractor Relationship
3.1 Contractor acknowledges and agrees that they are an independent contractor and not an employee, agent, partner, or representative of the Company. 3.2 Contractor shall not be entitled to any employee benefits, including but not limited to health insurance, retirement benefits, or paid leave. 3.3 Contractor shall have full control over how Services are performed, subject to Company requirements.
4. Liability and Indemnification
4.1 Contractor acknowledges that they are solely responsible for their actions, conduct, and any liabilities arising from the Services provided. 4.2 Contractor shall indemnify, defend, and hold harmless the Company from any claims, liabilities, damages, losses, or expenses arising from Contractor’s performance or failure to perform Services. 4.3 Contractor must maintain any necessary certifications and insurance coverage applicable to their work.
5. Confidentiality
5.1 Contractor agrees to maintain confidentiality regarding all Company-related information, including but not limited to client details, business practices, and proprietary methods. 5.2 This obligation shall survive termination of this Agreement.
6. Term and Termination
6.1 This Agreement shall commence on the Effective Date and continue until terminated by either party with 30 days written notice. 6.2 The Company may terminate this Agreement immediately for breach of contract, misconduct, or failure to meet performance expectations. 6.3 Upon termination, Contractor shall cease using any Company-provided materials and return all proprietary information.
7. Governing Law and Dispute Resolution
7.1 This Agreement shall be governed by and interpreted in accordance with the laws of the state in which the Company is registered. 7.2 Any disputes shall first be attempted to be resolved through mediation. If mediation fails, disputes shall be resolved in a court of competent jurisdiction.
8. Miscellaneous
8.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions and agreements. 8.2 No modifications shall be valid unless in writing and signed by both parties. 8.3 If any provision is found unenforceable, the remainder of the Agreement shall continue in full force.
